These Terms and Conditions ("Terms") constitute a legally binding agreement between you and ZippKart Pro Networks ("ZippKart Pro," "we," "our," or "us") governing your access to and use of our logistics and delivery services, mobile applications, and website (collectively, the "Services").

Important: By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Services.

2. Eligibility

To use our Services, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Not be prohibited from using the Services under applicable law

By using our Services, you represent and warrant that you meet all eligibility requirements.

3. User Accounts

3.1 Account Registration

To access certain features of our Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and current.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other security breach.

3.3 Account Termination

We reserve the right to suspend or terminate your account at our discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

4. Services Description

4.1 Delivery Services

ZippKart Pro provides technology-enabled logistics and delivery services connecting users, stores, and delivery riders. We facilitate the ordering and delivery of goods but do not own, sell, or resell the products delivered through our platform.

4.2 Service Availability

Our Services are currently available in select areas of Bangalore, Karnataka. Service availability may vary based on location, time, and other factors. We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time.

4.3 Third-Party Services

Our Services may include or rely on third-party services, including payment processors and mapping services. Your use of such third-party services is subject to their respective terms and conditions.

5. User Responsibilities

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Violate any applicable laws, regulations, or third-party rights
  • Provide false, misleading, or fraudulent information
  • Use the Services to transmit harmful, illegal, or prohibited items
  • Interfere with or disrupt the Services or servers or networks connected to the Services
  • Attempt to gain unauthorized access to any portion of the Services
  • Use automated systems or software to extract data from the Services
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Harass, abuse, or harm riders, store partners, or other users
  • Use the Services for any commercial purpose not expressly permitted

6. Orders and Delivery

6.1 Placing Orders

When you place an order through our Services, you make an offer to purchase the products from the store. The store has the right to accept or reject your order. We will notify you of the order status.

6.2 Pricing and Payment

All prices are listed in Indian Rupees (INR) and are subject to change without notice. You agree to pay all charges incurred in connection with your orders, including product prices, delivery fees, taxes, and any other applicable charges. Payment must be made through approved payment methods.

6.3 Delivery

We will make reasonable efforts to deliver your order within the estimated delivery time. However, delivery times are estimates and not guaranteed. We are not liable for delays caused by circumstances beyond our control.

6.4 Order Issues

If you have any issues with your order, including missing items, incorrect items, or quality concerns, you must notify us within a reasonable time. We will work with you and the store to resolve the issue in accordance with our refund and cancellation policy.

7. Fees and Charges

You agree to pay all applicable fees and charges associated with your use of the Services, including:

  • Product prices set by stores
  • Delivery fees
  • Service charges
  • Applicable taxes (GST, etc.)
  • Any other fees disclosed at the time of order

We reserve the right to change our fee structure at any time. Continued use of the Services after fee changes constitutes acceptance of the new fees.

8. Cancellation and Refund Policy

8.1 Cancellations

You may cancel your order before it is confirmed by the store. Once an order is confirmed and being prepared, cancellation may not be possible or may incur cancellation charges.

8.2 Refunds

Refunds will be processed in accordance with our refund policy. Refund eligibility and amounts are determined on a case-by-case basis. Refunds may be issued to your original payment method or as platform credits.

9. Intellectual Property Rights

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, software, and data compilations, are the exclusive property of ZippKart Pro or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content from our Services without our prior written consent.

10. Privacy and Data Protection

Your use of our Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy.

11. Disclaimers and Limitation of Liability

11.1 Service "As Is"

Our Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

11.2 No Warranty

We do not warrant that:

  • The Services will be uninterrupted, timely, secure, or error-free
  • The results obtained from using the Services will be accurate or reliable
  • The quality of products, services, information, or other material obtained through the Services will meet your expectations
  • Any errors in the Services will be corrected

11.3 Limitation of Liability

To the maximum extent permitted by law, ZippKart Pro, its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Services
  • Any conduct or content of any third party on the Services
  • Any content obtained from the Services
  • Unauthorized access, use, or alteration of your transmissions or content

Our total liability to you for all claims arising out of or related to these Terms or the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless ZippKart Pro, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

  • Your access to or use of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content you submit or transmit through the Services

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

13.2 Jurisdiction

Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Bangalore, Karnataka, India.

13.3 Informal Resolution

Before filing any formal legal action, you agree to contact us to attempt to resolve the dispute informally by contacting our customer support team.

14. Rider and Store Partner Terms

If you are a delivery rider or store partner, additional terms and conditions may apply to you. These specific terms will be provided separately and are incorporated into these general Terms by reference.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the modified Terms.

It is your responsibility to review these Terms periodically. If you do not agree to the modified Terms, you must stop using the Services.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Services, constitute the entire agreement between you and ZippKart Pro regarding your use of the Services.

18. Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by ZippKart Pro.
